FScanup Terms of Use

These Terms of Use (hereinafter referred to as "Terms") apply to the FScanup client application and related services (collectively referred to as "Applications"). FScanup allows you to use the app for your personal, non-commercial, personal entertainment purposes only, provided you strictly abide by these terms.

Before starting to use this App, please be sure to read and fully understand this agreement, especially the terms related to the exemption or limitation of liability, rights license and information use, applicable law and dispute resolution clauses, etc. Among them, important content such as liability exclusion or limitation clauses will remind you in bold, and you should read them emphatically. If you are a minor, you may use the App only through the account of a parent or legal guardian, with their participation, and after the parent or legal guardian agrees to the terms of this Agreement.

This agreement contains a mandatory dispute arbitration clause. You agree that disputes between you and FScanup will be resolved through binding individual arbitration, and you waive your right to participate in class actions or class arbitration.

FScanup makes your scanning work easier, including automatic scanning, batch scanning, and adding advanced filters and editing functions after scanning. It supports PDF and image JPEG/PNG format saving; efficient file saving and search functions

(1) Eligibility for application

You may use the app only if you can enter into a binding contract with FScanup, and you must abide by these terms and all applicable local, national and international laws, rules and regulations. The app will not work for any users who were previously removed from the app by the FScanup. In order to use the App, you must have a compatible device that meets the minimum specifications set forth in the appropriate mobile application store ("App Store") from which you acquired the App. For the purposes of these Terms, any compatible device on which you download the Application will be referred to as a "Device". You confirm that you own the applicable device or, if you do not own it, that you are licensed to install and use the Application on such device. You are responsible for any use of the Application on or in connection with such devices, whether or not such devices are owned by you or such use is performed by you.

(2) FScanup App

On the premise that you strictly abide by these terms, FScanup grants you a limited, non-exclusive, non-transferable, personal, and revocable license to use the application on your device for non-commercial, personal entertainment use. FScanup reserves the right to revoke this license at any time in its sole discretion. Any material or other information that you download and use through the application or as part of related services is limited to your own personal entertainment and may not be used for any commercial purpose without the prior express written consent of FScanup, which can be found in its sole and absolute discretion. Except as expressly permitted by these Terms, you may not use, reproduce, adapt, modify, distribute, create derivative works from, license, sell, assign, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Application and related services or content. FScanup does not grant you any rights in any intellectual property owned or controlled by FScanup, except for the licenses and rights expressly granted in these Terms with respect to the Application, whether by implication or by implication or other rights granted.

(3) Rules of use

You agree not to engage in any of the following prohibited activities, and your license to use the Application is conditioned upon your not engaging in any of the following prohibited activities: (i) copying, distributing, renting, sublicensing, translating, timesharing, modifying, changing or Disclose any part of the Application on any medium, including without limitation any automated or non-automated "crawler"; (ii) use any automated system, including without limitation "robots", "spiders", "offline readers" etc., to access the application in the form of request messages sent to the FScanup server in a manner that exceeds what a human being can reasonably generate using a traditional online web browser in the same period of time; (iii) transmit spam, chain letters or other unsolicited e-mail; (iv) attempt to interfere with, compromise system integrity or security, or decipher any transmissions to or from the server running the Application; (v) take any action against our impose or disproportionately large loads on the facility, or may impose unreasonably or disproportionately large loads at our sole discretion; (vi) upload invalid data, viruses, worms or other software agents through the application; (vii) collect from the application or collect any personally identifiable information, including account names; (viii) use the app for any commercial purpose, but do not own all necessary rights and licenses to User Content and FScanup; (ix) impersonate others or otherwise misrepresent your relationship with a person or entity to defraud, conceal or attempt to conceal your identity; (x) interfere with the proper functioning of the App; any Content; (xii) to bypass measures we may use to prevent or restrict access to the App, including without limitation features that prevent or restrict the use or copying of any Content or impose restrictions on the use of the App or content within it; or (xiii ) disassemble, decompile, reverse engineer or otherwise attempt to locate the source code of the Application.

The Application may contain links to independent third-party websites, applications or content ("Third Party Content"). Third-party content is not under our control, and you agree that we are not responsible for, endorse or monitor their content or privacy policies. We expressly disclaim all liability for any loss or damage you may incur as a result of your access to and use of third-party content.

Your use of the App and any data, text, files, images, photographs and video clips, sound recordings that you create, generate, modify, submit, post, distribute, post or display on or through our App , musical compositions, narration, author work, links and other content or materials ("User Content"). Before editing material using FScanup, please confirm that you have the authorization of the original material rights holder, all individuals described in such material, and any other authorization required by law. We expressly prohibit you from using the application for purposes that violate laws and regulations or infringe the rights of others. FScanup is not responsible for your use of our application.

2. User Code of Conduct

(1) You are responsible for using this application and related services. Except as permitted by law or with Company's express prior written permission, you agree not to:

Use the App to engage in dangerous, fraudulent or illegal activities, or to directly or indirectly facilitate such activities;

Use the App to transmit hate speech or support hateful, defamatory or discriminatory activities;

Use the application to record, create, generate, modify, publish, publish or transmit anything that is defamatory, threatening, harassing, bullying, advocating violence or terrorism, abusive, offensive, obscene, indecent, child exploitative or abusive, sexually explicit, discriminatory sexual, illegal, contains false statements of fact, provides a false impression of an individual, defrauds an individual of information, impersonates an individual or organization, transmits private information, or is otherwise objectionable or infringes or violates the rights of a third party;

use the App in a manner that could damage, disable, overload, impair or impair our systems or security or interfere with other users, or restrict or prohibit any other user from using the App (including by hacking or defacing the App);

use the Application for material that you do not own or otherwise have the right to use, or that depicts an individual who has not expressly consented to such use;

collect or obtain any information or data from the servers running the Application, including, without limitation, retrieval, indexing, "crawling," "data mining" using any robot, spider, site search/retrieval application, or other manual or automated device, or in any way harvest the content of the App, or reproduce or circumvent the navigational structure or presentation of the App;

Interfere with, destroy, modify or otherwise affect the normal operation of the application and related services by using any plug-ins, plug-ins, systems or third-party tools not authorized or licensed by FScanup;

Using or aiming at "FScanup" and related services to conduct any behavior that endangers computer network security;

Provide convenience for others to publish the above-mentioned information content that does not comply with national regulations and/or terms of service, including but not limited to setting URLs, BANNER links, etc.;

(2) You shall not make any changes in any form to the source web page of the FScanup and related services, including but not limited to home page links, advertising system links, etc. of the FScanup and related services, and block, insert, or Pop-up windows, etc. obstruct the display of pages or Apps;

(3) The data content of this application shall not be used for purposes other than the written permission of the Snapchat FScanup, and shall not be used for any form of sales and commercial purposes, or provided or disclosed to third parties or allowed to be used by third parties.

3. Our Proprietary Rights

(1) The App contains material owned or licensed by FScanup ("FScanup IP"). FScanup IP may be protected by copyright, trademark, patent, trade secret and other laws, and as between you and FScanup, FScanup owns and reserves all rights in FScanup IP. You may not delete, alter or obscure any copyright, trademark, service mark or other proprietary notice contained in or accompanying this application, nor may you copy, modify, adapt, prepare derivative works based on this application, perform, display, publish , distribute, transmit, broadcast, sell, license, or otherwise exploit the Application. The FScanup name and logo are trademarks of the FScanup and may not be copied, imitated or used, in whole or in part, without the prior written permission of the FScanup. In addition, all page headers, custom graphics, button icons and scripts are service marks, trademarks and/or trade dress of FScanup and may not be copied, imitated or used in whole or in part without FScanup's prior written permission .

(2) You may choose or we may invite you to submit comments or ideas about the App, including but not limited to how the App or our products can be improved ("Ideas"). By submitting any idea, you agree that your disclosure is gratuitous, unsolicited, unrestricted, does not place FScanup under any fiduciary or other obligations, and that we are free to use the idea without No additional compensation is required to you, and/or disclosure of this idea to anyone on a non-confidential basis or otherwise. You further acknowledge that by accepting your submission, FScanup does not waive any rights to use similar or related ideas previously known to FScanup, or ideas developed by its employees, or obtained from sources other than you.

4. Disclaimer and Limitation of Liability

(1) We make no representations or warranties as to the completeness, accuracy or timeliness of the information or content provided in the app. Such information is also subject to change without notice. We do not warrant that the functions contained in the application will be uninterrupted or error-free, that defects will be corrected, or that the application will be free of viruses or other harmful components. We do not warrant or make any representations regarding the use of the app or the results of using it. You agree to perform your own due diligence to evaluate the accuracy, reliability and quality of all content provided by the App. You, and not us, assume the entire cost of all necessary servicing, repair or correction of your equipment. Some jurisdictions do not allow the above disclaimers, so they may not apply to you.

(2) You agree that use of the application, content and/or any third-party content is at your own risk. You further understand and agree that we are not responsible for your illegal, unauthorized or improper use of information transmitted, monitored, stored or received using the Application.

(3) The app is provided "as is" and, to the extent permitted by applicable law, FScanup and its directors, officers, employees, agents, representatives, licensors, third-party providers and affiliates exclude any express or Implied representations or warranties, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. ANY RELIANCE ON OR USE OF THE APP IS AT YOUR OWN RISK. FScanup and APP STORE have no obligation to provide any maintenance and/or support services related to the application, and we expressly disclaim any responsibility for any loss or damage you suffer from accessing and using the application.

(4) To the maximum extent permitted by applicable law, under no circumstances shall you be liable for any loss, injury or damage (including but not limited to any special, indirect, consequential or punitive damages, lost profits, lost revenue, lost data, or other incidental damages), we will not be personally liable to you. IN NO EVENT WILL CAMBER'S LIABILITY TO YOU UNDER THESE TERMS EXCEED THE TOTAL AMOUNT OF FEES PAID TO CAMERA BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE DATE OF SUCH LIABILITY ORIGINALLY ARISING.

5. Access and Termination

(1) We reserve the right to temporarily or permanently, in whole or in part, modify, change, suspend or terminate the functions of the application for any reason without prior notice, and we will not be liable to you unless prohibited by applicable laws. The App may provide updates through the App Store from time to time. Depending on the update, you may not be able to use the application until the latest version is installed.

(2) FScanup may block, terminate or suspend your access to the App or any User Content at any time, in its sole discretion and for any reason, without notice, even if others continue to be allowed access. Upon termination, you must cease use of the Application and delete it from all applicable devices, and you will continue to be bound by this Agreement.

(3) In addition, you acknowledge that the Apps and Content are provided over the Internet and mobile networks, so the quality and availability of the Apps and Content may be affected by factors beyond our reasonable control. Therefore, we are not responsible for any connection issues you may experience while using the application or content. In addition, you acknowledge and agree that you (and not us) are responsible for obtaining and maintaining all telecommunications, broadband and computer hardware, equipment and services necessary to access and use the Application and Content, and for paying any Any data charges you incur in connection with your use of the App and Content. If you choose to share information from the App utilizing the SMS/Text functionality, you acknowledge and agree that you (and not us) are responsible for paying any associated fees that your network or telecommunications provider may charge you.

6. Compensation

To the extent permitted by applicable law, you agree to indemnify us from and against any claims, actions, demands, losses, liabilities, damages, costs and expenses (including legal fees and other expenses, such as attorneys' fees), except for costs arising from our gross negligence or willful or reckless misconduct. We reserve the right to assume the exclusive defense and control of any claim by a third party relating to your use of the App, and you agree to assist and cooperate with any such claim.

7. Infringement of Copyright and Other Intellectual Property Rights

(1) FScanup respects the rights of others, and we hope you will do the same. If you believe that your copyrighted work has been reproduced in a manner that constitutes copyright infringement and is located on the Application, please notify us. You must provide the following information in writing:

One. An electronic or physical signature of the person authorized to act on behalf of the copyright owner;

2. Identification of the copyrighted work that you claim has been infringed;

(ii) identification of the material claimed to be infringing and its location within the Application;

d. Reasonable and sufficient information to allow Snapshots to contact you, such as your address, phone number and email address;

e. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and a statement under penalty of perjury that the foregoing information is accurate, and You are the copyright owner or are authorized to act on behalf of the owner.

(2) Respect and protect legal rights such as intellectual property rights, reputation rights, name rights, and privacy rights of legal persons and citizens. You guarantee that the text, pictures, video, audio, links, etc. uploaded when using this application and related services do not infringe any third party's intellectual property rights, reputation rights, name rights, privacy rights, etc., and are legitimate rights and interests. You bear all legal responsibilities for all claims made by the third party; if the FScanup and its affiliated companies and controlling companies suffer losses (including economic and goodwill losses) due to your infringement, you should also pay Snapshot in full FScanup, ITS AFFILIATES AND CONTROLLING COMPANY FOR ALL LOSSES (INCLUDING ALL ATTORNEYS FEES).

8. Privacy and Security

(1) We care about your privacy. For a better experience, we may ask you to provide us with certain personally identifiable information when using our services. Information we request will be retained by us and used as described in our Privacy Policy.

(2) FScanup cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to breach our security measures or use your personal information for improper purposes. You acknowledge that you provide personal information at your own risk.

9. Advertising Policy

We take commercially reasonable steps to ensure that our advertisers in the App (and third-party advertisements served by such advertisers) comply with industry self-regulatory guidelines provided by the Digital Advertisers Alliance (DAA) and Google Advertising Policies.

10. Terms of Use for Minors

The company attaches great importance to the protection of minors' personal information. We do not knowingly collect personal information from individuals under the minimum age stated here. You must be at least 14 years of age, or the age of majority in your jurisprudence, whichever is greater, to use the App and related services. Individuals under this age may use the Application and related services only through the account of and with the participation of a parent or legal guardian. In accordance with the Children's Online Privacy Protection Act, if we learn that we have collected personal information from a child under the age of 13 without parental consent, we will delete that information as soon as possible. If you believe that FScanup may have collected personal information about your child, you can request that we delete such information using our support form.

11. Other

(1) The conclusion, entry into force, performance, interpretation and dispute resolution of this agreement shall be governed by the laws of mainland China. If any provision of this agreement is invalid because it conflicts with the laws of the People's Republic of China, these provisions will be reanalyzed as close as possible to the original text of this agreement, and the other provisions of this agreement shall still have full force and effect.

(2) If you have a dispute with the company, both parties should try to resolve the dispute in an amicable manner. If negotiations fail, you agree that the dispute shall be submitted to Shanghai International Economic and Trade Arbitration Commission ("SHIAC") for binding arbitration. The arbitration proceedings shall be conducted in Chinese and in Shanghai. Each party may present its case by telephone, written opinion, or in person. The arbitration award is final and binding on both parties. Each of us agrees that any dispute resolution proceedings will be conducted on an individual basis only and not in a class, consolidated or representative action. If, for any reason, a claim proceeds in court rather than in arbitration, each of us waives any right to a jury trial. We also agree that you or we may bring action in any court in which the FScanup resides for infringement or other misuse of intellectual property rights.

(3) If you are a U.S. Government end user, we license the App to you as a "Commercial Item," as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. § 2.101), and we grant you rights in the App with All other rights granted by us under these Terms are the same.

(4) These terms and the terms of the privacy policy constitute the entire agreement between us regarding your use of the application. These terms supersede all prior understandings or agreements between us. Further, in entering into these Terms, you have not relied on and (without deceit) you have no right or remedy for any statement, representation, warranty or assurance other than those set forth in these Terms.

(5) We may transfer our rights and obligations under these Terms to other organizations, but this will not affect your rights or obligations under these Terms. You may not assign your rights or obligations under these Terms.

(6) If we fail to insist on compliance with any of your obligations under these Terms, or if we fail to enforce our rights against you, or if we delay in doing so, it does not mean that we have waived our rights against you, nor means that you do not have to comply with these obligations.

(7) For any failure or delay due to any act or event beyond our reasonable control (including your acts or omissions, any failure of public or private telecommunications networks, acts of God, war, riots, embargoes, ours) We shall not be responsible or liable for the performance of any of our obligations under these Terms. Epidemics, epidemics, acts of civil or military authorities, fires, earthquakes, floods, accidents, strikes or shortages of transport, facilities, fuel, energy, labor or materials.

(8) These Terms apply to the Application, including any updates or supplements thereto. CleanTech may change or amend these Terms from time to time in its sole discretion, with or without notice to you. When you access the app, you will be prompted to agree to the new terms. Your use of the Application after such revised terms are posted constitutes your acceptance of and agreement to be bound by such revised terms.
